Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “User,” “Company,” or “You”) and QHR Digital AI Private Limited (“QHR Digital AI,” “We,” “Us,” or “Our”), having its primary office at Vrindavan Park Society, Gayatri Nagar, Chandlodiya, Ahmedabad, Gujarat 382481, India.

By accessing, registering for, or using our cloud-based Applicant Tracking System (“ATS”), AI Resume Parser, candidate databases, interview scheduling tools, WhatsApp integration bots, and related SaaS services (collectively, the “Services”), you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Multi-Company SaaS & Authorized User Accounts

QHR Digital AI operates an enterprise multi-company, multi-tenant recruitment platform. Depending on your subscription plan:

• Company Workspaces: You may establish designated workspace tenants for your corporate entity, branches, or staffing agency clients. You are responsible for configuring appropriate role-based access control (RBAC) and permissions for all company users.
• Account Credentials: You must maintain the confidentiality of user login credentials, API secret keys, and webhook authorization tokens. Single concurrent active session policies may be enforced. You must notify us immediately at info@qhrdigital.ai of any unauthorized account access.
• Authority: If you are registering an account on behalf of a company, partnership, or staffing agency, you warrant and represent that you have full corporate authority to bind that entity to these Terms.

3. Permitted Use & Fair Usage Policy

You agree to use our ATS Services strictly for legitimate recruitment, talent acquisition, human capital management, and candidate evaluation purposes. You agree NOT to:

• Upload malicious code, viruses, or corrupted resume files designed to compromise parser microservices.
• Reverse engineer, decompile, or extract the underlying proprietary algorithms, vector matching models, or parser training code of QHR Digital AI.
• Resell, sublicense, or rent access to your QHR Digital account to unapproved third parties without our prior written authorization.
• Bypass or exceed monthly AI resume parsing quotas, candidate database limits, or API call limits established in your subscribed tier.
• Transmit unsolicited mass spam emails or abusive automated messages to job candidates in violation of our Anti-Spam Policy.

4. Candidate Data Ownership & Processing

Your Candidate Data: As between you and QHR Digital AI, you retain all ownership, intellectual property rights, and commercial authority over candidate profiles, resumes, interview scorecards, notes, and recruitment records (“Customer Data”) that you upload or parse via our platform.

Data Processor Role: In processing candidate data, QHR Digital acts strictly as a “Data Processor” (or “Service Provider”) under applicable data protection laws, including the European Union General Data Protection Regulation (GDPR) and the Indian Digital Personal Data Protection Act (DPDP). You remain the “Data Fiduciary” / “Data Controller” responsible for obtaining appropriate candidate consent.

Tenant Data Isolation: We implement logical and cryptographic database isolation ensuring your candidate database and client records cannot be accessed or indexed by any other tenant or external company.

5. AI Features, Resume Parsing & Evaluation Transparency

QHR Digital incorporates cutting-edge machine learning and natural language processing models for automated resume parsing, candidate scoring, and job description generation.

• Decision-Making Support: Our AI candidate matching scores (0-100) and resume summaries are decision-support recommendations intended to assist human recruiters. Final hiring, interview selection, and rejection decisions remain solely under human supervision and responsibility.
• Model Integrity: We do not use your proprietary candidate resumes or private client job requisitions to train generalized public AI models for competitor platforms without your explicit opt-in.

6. Subscription Plans, Billing & Cancellation

• Billing Cycle: Services are billed in advance on a monthly or annual recurring cycle according to your chosen plan. Invoices are issued in USD or INR (inclusive of applicable GST for Indian entities).
• Add-Ons & Parsing Credits: Additional AI resume parsing credits, WhatsApp messaging packs, and extra user seats can be purchased dynamically and will be reflected on subsequent invoices.
• Cancellation: You may cancel your subscription at any time via your account settings. Upon cancellation, your account will remain active until the conclusion of the paid billing period. We do not provide prorated refunds for partial periods.
• Data Export: Upon termination or expiration of your account, you will have a 30-day grace period to export your candidate records in CSV or JSON format before permanent deletion from active databases.

7. Service Availability & SLA

We endeavor to maintain 99.9% application uptime for our core ATS platform, excluding scheduled maintenance windows announced at least 24 hours in advance. Enterprise plans feature custom Service Level Agreements (SLAs) with dedicated technical support and uptime credits.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall QHR Digital AI, its directors, employees, or partners be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, hiring delays, loss of goodwill, or business interruption. Our total cumulative liability arising out of these Terms shall not exceed the total fees paid by you to QHR Digital AI in the twelve (12) months preceding the claim.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts located in Ahmedabad, Gujarat, India.
